Terms of Sale
Effective Date: 1 July 2026
DRAFT — Pending owner and legal review. These terms have been prepared in good faith as a working draft. They must be reviewed and approved by JFDI Consulting Ltd and, where appropriate, by qualified legal counsel before being relied upon in any commercial transaction.
These Terms of Sale (“Terms”) govern the purchase of software licences from JFDI Consulting Ltd (“we”, “us”, “our”), a company incorporated in England and Wales, with registered office at 167–169 Great Portland Street, 5th Floor, London W1W 5PF.
By completing a purchase you (“the Buyer”) agree to be bound by these Terms. If you do not agree, do not proceed with your purchase.
1. Who We Are
JFDI Consulting Ltd is a technology consultancy and software house. Purchases made through this website are business-to-business (B2B) transactions. These Terms apply to the purchase of software licences only and do not affect any separate professional services engagement.
2. What Is Sold
We sell per-tenant software licences for the Copilot Readiness Assessment Tool (“the Tool”). Two licence types are available:
Single-tenant licence A licence for use with one Microsoft Entra Tenant ID, specified at the time of purchase. The licence is perpetual (one-time payment; no recurring fees) and is bound to that specific Tenant ID.
10-tenant licence pack A pack of ten individual tenant-bound licences, purchased together at a reduced per-tenant rate. Each of the ten licences will be bound to a specific Microsoft Entra Tenant ID, nominated during onboarding.
Important: Licences are non-transferable and non-reassignable. Once a licence is activated against a Tenant ID, it cannot be moved to a different tenant. You should ensure you have the correct Tenant ID before completing your purchase.
3. Prices and VAT
All prices displayed on this website are quoted exclusive of VAT (Value Added Tax). Where applicable, UK VAT at the current standard rate will be added to the order total at checkout and shown separately before payment is confirmed.
Current list prices (ex-VAT):
- Single-tenant licence: £1,500
- 10-tenant licence pack: £10,000
Prices are subject to change without notice. The price that applies to your order is the price confirmed at checkout at the time of purchase.
4. Delivery and Fulfilment
Single-tenant licence
On receipt of cleared payment, delivery is by digital means:
- You will receive a secure download link for the Tool installer/package.
- Tenant activation: your specified Entra Tenant ID will be registered and activated in our licence management system.
Digital delivery is typically completed within one business day of payment being cleared.
10-tenant licence pack
The 10-tenant pack is fulfilled by manual onboarding. After payment is received, a member of the JFDI team will contact you (using the email address provided at checkout) to arrange onboarding for each of the ten tenants. We aim to initiate contact within two business days of payment clearing.

5. Refunds and Cancellations
DRAFT — This section in particular requires legal review before reliance. The policy below is a reasonable starting position for B2B digital software sales under UK law, but the specific wording and scope must be confirmed with qualified legal counsel.
These Terms apply to business-to-business transactions only. The UK Consumer Contracts Regulations 2013, which provide a statutory right of cancellation for consumers, do not apply to B2B purchases.
Single-tenant licence
Because a software licence of this type is delivered digitally and activated against a specific Tenant ID, once the download link has been issued and/or the licence has been activated, the sale is final and no refund will be given, except as required by applicable law.
If delivery fails due to an error on our part (for example, a technical failure that prevents delivery), we will re-attempt delivery or, if that is not possible, issue a full refund.
10-tenant licence pack
Cancellation requests received before onboarding has commenced (i.e. before we have taken any step to set up tenants following payment) will be considered and, at our sole discretion, may result in a full refund less any payment-processing fees incurred. Requests should be sent to [email protected] as soon as possible after payment.
Once onboarding has commenced for any of the ten tenants in a pack, no refund will be given, except as required by applicable law.
We reserve the right to assess refund requests on a case-by-case basis. Nothing in these Terms excludes or limits our liability for fraud, death or personal injury caused by negligence, or any other liability that cannot be excluded by law.
6. Licence Terms
Use of the Tool is additionally governed by the End-User Licence Agreement (EULA) provided with the software at the time of delivery. In the event of any conflict between these Terms of Sale and the EULA, the EULA prevails with respect to use rights; these Terms prevail with respect to the sale transaction itself.
7. Limitation of Liability
To the fullest extent permitted by law, our total liability to you in connection with any purchase shall not exceed the amount actually paid by you for the relevant licence. We shall not be liable for any indirect, consequential, or special loss arising from your use of (or inability to use) the Tool.
8. Governing Law
These Terms are governed by the laws of England and Wales. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
